Terms of Service

Please read these terms carefully before engaging our services. By working with Creovate Studio, you agree to the terms outlined below.

1. Agreement to Terms

By accessing our website or engaging our services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you may not use our services. These terms apply to all clients, visitors, and users of Creovate Studio's website and services.

2. Our Services

Creovate Studio provides product design, brand identity, digital product development (web and mobile), and product strategy services. The specific scope, deliverables, timelines, and fees for any engagement are defined in a separate project agreement or statement of work (SOW) agreed upon before work begins.

We reserve the right to refuse service, terminate engagements, or modify service offerings at our discretion, with reasonable notice provided to affected clients.

3. Intellectual Property

Upon receipt of full payment for a completed project, Creovate Studio transfers all rights to the final agreed deliverables to the client, unless otherwise specified in the project agreement.

Creovate Studio retains ownership of all preliminary concepts, sketches, design explorations, source files, and working documents unless explicitly included in the deliverables list. We also retain the right to display completed work in our portfolio, case studies, and marketing materials unless the client requests otherwise in writing.

All tools, frameworks, templates, and processes developed by Creovate Studio remain our intellectual property.

4. Client Responsibilities

Clients are responsible for providing accurate, complete, and timely information required for the project. Delays caused by late content, feedback, or approvals from the client may affect project timelines and additional costs may apply.

Clients warrant that any materials provided to Creovate Studio (including copy, images, logos, and brand assets) do not infringe on any third-party intellectual property rights. Clients assume full liability for any such materials provided.

5. Payment Terms

Payment terms are outlined in each individual project agreement. In general:

• A deposit (typically 40–50% of the project fee) is due before work begins. • Remaining payments are tied to agreed project milestones or delivery. • Invoices are due within 14 days of issue unless otherwise agreed. • Late payments may incur interest charges of 1.5% per month. • Creovate Studio reserves the right to pause or terminate work on outstanding invoices exceeding 30 days past due.

All fees are quoted in the currency specified in your project agreement.

6. Revisions & Scope

Each project agreement specifies the number of revision rounds included. Revisions are defined as changes within the agreed scope. Requests that materially change the scope, direction, or scale of the project are considered new work and will be quoted separately.

Creovate Studio will notify clients in writing if a requested change constitutes a scope addition before proceeding.

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during an engagement. Creovate Studio will not share client data, unreleased product information, or business strategy with third parties without written consent.

This obligation survives the termination of any project agreement.

8. Limitation of Liability

Creovate Studio's total liability for any claim arising from our services shall not exceed the total fees paid by the client for the specific project giving rise to the claim.

We are not liable for indirect, incidental, special, or consequential damages, including lost profits or business interruption, even if we have been advised of the possibility of such damages.

Creovate Studio does not guarantee specific business outcomes, revenue increases, or user growth from any design or development work delivered.

9. Termination

Either party may terminate a project engagement with 14 days' written notice. Upon termination, the client is responsible for payment of all work completed to date. Creovate Studio will deliver all completed work product upon receipt of outstanding payment.

Creovate Studio may terminate an engagement immediately for cause, including non-payment, breach of these terms, or conduct that makes continuation of the engagement impractical.

10. Governing Law

These Terms of Service are governed by the laws of the Republic of Ghana. Any disputes arising from these terms or a project engagement shall be subject to the exclusive jurisdiction of the courts of Ghana.

Both parties agree to attempt to resolve disputes through good-faith negotiation before initiating formal legal proceedings.

11. Changes to These Terms

Creovate Studio reserves the right to update these Terms of Service at any time. Changes will be posted on this page with an updated effective date. Continued use of our services after changes are posted constitutes acceptance of the revised terms.

For active project engagements, material changes to these terms will be communicated directly to affected clients.
